Partner Terms of Sale

Article 1 — Purpose and Acceptance

These Partner Terms of Sale ("Terms") govern the contractual relationship between EM DISTRIBUTION, a French single-member limited liability company (EURL) registered with the Trade and Companies Register of Nanterre under number 833 545 924, with registered office at 33 avenue Albert Petit, 92220 Bagneux, France ("BubbleAds", "we"), and any business ("the Partner", "you") subscribing to the BubbleAds service through the partner portal. Creating a partner account and completing a payment constitutes full acceptance of these Terms.

BubbleAds is reserved for professionals acting within the scope of their business activity (B2B use): insurers, brokers, retailers, tradespeople, restaurants, hotels, garages, and other providers of goods or services covered by the platform.

Article 2 — Service Description

BubbleAds connects merchant partners with individuals expressing purchase or booking intent during a conversation with an AI assistant (through the consumer-facing service "BubbleShop"). Two components are offered, independent of one another:

a) Base Service (included in any active subscription) Receipt of matched introductions ("conversions") corresponding to the products, services, and geographic areas you cover, catalog management, and — depending on your sector — automated appointment confirmation.

b) Compte Annonceur (optional paid add-on) The Advertiser Account unlocks the configuration of paid advertising campaigns (through advertising channels available on partner AI platforms, e.g. Google Ads / Gemini) to increase your visibility beyond the organic introductions provided by the Base Service. The Base Service and the Advertiser Account are strictly independent: a partner without an Advertiser Account continues to receive introductions through conversational AI under their standard subscription.

Article 3 — Pricing and Launch Offer

Pro subscription

• Monthly: €49.90 excl. VAT/month (standard rate) or €24.95 excl. VAT/month (launch offer, -50%)
• Annual: €499.00 excl. VAT/year (standard rate) or €249.50 excl. VAT/year (launch offer, -50%)

The launch offer applies to the first 1,000 partners to activate their subscription, subject to that cap. The applicable rate (standard or launch) is determined and permanently locked in at the time of your first payment: it will not be recalculated later, even if the 1,000-partner cap is reached after you subscribed or if our pricing changes.

Advertiser Account No fixed fee. Access to the Advertiser Account is restricted to the Pro tier and does not involve any additional subscription.

Prepaid advertising balance and pay-per-click billing You top up a prepaid advertising balance, with a minimum of €500 per top-up (automatic top-up optional). Only clicks actually obtained on ChatGPT or Google Ads/Gemini are deducted from the balance: with no click, nothing is owed.

Each click is billed at the real market cost-per-click, plus a margin that decreases with your committed monthly budget: +45% from €500 to €999/month, +30% from €1,000 to €2,499/month, +20% from €2,500/month (above that, on quotation). As the balance is prepaid, no delivery can occur beyond the available balance.

Prices above are exclusive of tax; applicable VAT is added at checkout.

Article 4 — Billing and Recurring Payment

Payment for the subscription and, where applicable, Compte Pro+, is processed by our payment provider Viva Payments. By completing your first payment, you expressly authorize BubbleAds to initiate automatic recurring charges (monthly or annual, depending on your chosen plan) on the same payment method, until your subscription is cancelled under Article 6.

If a charge fails (expired card, insufficient funds, bank decline), your subscription is automatically suspended and access to the corresponding features interrupted until the issue is resolved.

BubbleAds never sees or stores your full banking details; these are processed exclusively by Viva Payments.

Article 5 — Availability and Limited Warranty

BubbleAds uses reasonable efforts to ensure the availability and proper functioning of the service, without guaranteeing continuous availability. The service is provided "as is". The volume and quality of introductions depend on factors outside our direct control (visitor behavior, availability of third-party conversational AI platforms, competition among partners in the same area). BubbleAds does not guarantee any minimum volume of introductions or any business outcome.

Article 6 — Term, Cancellation and Suspension

You may cancel your subscription at any time from your partner dashboard; cancellation takes effect at the end of the already-paid period (monthly or annual), with no pro-rata refund. Compte Pro+ may be cancelled independently of the base subscription, under the same terms.

BubbleAds may suspend or terminate your account, without notice or compensation, in the event of non-payment, provision of inaccurate information, or a material breach of these Terms or the applicable Terms of Use.

Article 7 — Limitation of Liability

BubbleAds' liability, for all damages combined, is limited to the total amount you have paid over the twelve (12) months preceding the event giving rise to the claim. BubbleAds shall not be liable for indirect damages (loss of revenue, loss of customers, reputational harm). This limitation does not apply in the case of gross negligence or willful misconduct, in accordance with French law.

Article 8 — Changes to These Terms

BubbleAds reserves the right to amend these Terms at any time. Amended Terms take effect upon publication on bubbleads.fr and apply to payments made after that date; rates already locked in under Article 3 are not affected retroactively.

Article 9 — Governing Law and Jurisdiction

These Terms are governed by French law. Any dispute relating to their formation, performance, or interpretation falls under the exclusive jurisdiction of the Nanterre Commercial Court, unless mandatory law provides otherwise.
